FocusAI is an AI-powered clarity and wellbeing tool operated by FocusAI Limited, a company registered in New Zealand, with its principal place of business at Havelock North, Hawke’s Bay, New Zealand 4130.

FocusAI is designed to help users gain daily clarity, perspective, and encouragement. It is a general-purpose tool and is not a mental health service, counselling service, therapy, or medical advice platform.

2. Acceptance of Terms

By accessing or using the FocusAI website or service, you confirm that you are at least 18 years of age and that you agree to these Terms and Conditions in full. If you do not agree, please do not use the service.

3. The Service

3.1 What FocusAI provides

FocusAI uses artificial intelligence to generate personalised responses, clarity prompts, encouragement, and suggested actions based on user input. Responses are generated automatically and are not reviewed by a human before delivery.

3.2 What FocusAI does not provide

FocusAI is not a substitute for professional advice of any kind. It does not provide:

• Mental health treatment, therapy, or counselling
• Medical advice or diagnosis
• Legal, financial, or professional advice
• Crisis intervention or emergency services

3.3 Service availability

4. Subscriptions and Payments

4.1 Free tier

FocusAI offers a limited free tier allowing up to three sessions per calendar month. No payment information is required for the free tier.

4.2 Pro subscription

A paid Pro subscription is available, providing unlimited sessions and additional features. Subscription fees are charged monthly or annually as selected at the time of purchase. All prices are in New Zealand Dollars (NZD) unless otherwise stated.

4.3 Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. FocusAI does not offer refunds for partial billing periods except where required by the New Zealand Consumer Guarantees Act 1993.

5. Acceptable Use

You agree not to use FocusAI to:

• Submit content that is unlawful, harmful, threatening, abusive, or harassing
• Attempt to reverse-engineer, copy, or exploit the service or its underlying AI systems
• Use automated tools or bots to access the service
• Attempt to circumvent usage limits or access controls
• Submit false or misleading information

We reserve the right to suspend or terminate access for any user who breaches these terms.

6. Intellectual Property

All content, design, branding, and technology on the FocusAI platform is the property of FocusAI Limited or its licensors. You may not reproduce, distribute, or create derivative works from any part of the service without express written permission.

AI-generated responses delivered to you through the service are provided for your personal use only and may not be republished or commercialised.

7. Limitation of Liability

To the fullest extent permitted by New Zealand law, FocusAI Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. This includes, without limitation, any reliance on AI-generated content.

FocusAI’s total liability to you for any claim shall not exceed the amount paid by you to FocusAI in the three months preceding the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Disclaimer of Warranties

The FocusAI service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the service will be error-free, uninterrupted, or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

9. Third-Party Services

FocusAI uses third-party services to operate, including AI infrastructure (Anthropic) and email delivery platforms. Your use of the service is subject to the relevant terms of these third-party providers. FocusAI is not responsible for the practices of third-party services.

10. Changes to These Terms

We may update these Terms and Conditions from time to time. Significant changes will be communicated via email or a notice on the website. Continued use of the service after changes are posted constitutes acceptance of the updated terms.

11. Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts.
